Both Nissen and Kilmartin resigned from the board late on Monday after a Treasury report found they had "failed to comply" with remuneration guidelines for senior executives of government-owned corporations.
Meanwhile an investigation into more than $72,590 of personal expenses incurred by the late Greg Maddock has cleared the former Energex CEO of any wrongdoing. Premier Peter Beattie told parliament that the expenses were approved Nissen as part of an apparent "oral contract" without consulting other board members.
Maddock committed suicide on September 17 while under investigation.
